Kiikiis Multivendor Marketplace – Vendor Agreement

This Vendor Agreement (“Agreement”) is a legally binding contract between Kiikiis and any individual or business (“Vendor”, “you”, “your”) who registers to sell products on the Kiikiis Multivendor Marketplace. By creating a vendor account, listing products, or selling on Kiikiis, you agree to all terms below.

1. Vendor Eligibility

To become a Vendor on Kiikiis, you must:

• Be at least 18 years old
• Provide accurate business and identity information
• Have the legal right to sell the products you list
• Comply with all applicable federal, state, and local laws

Kiikiis may request identity verification at any time.

2. Vendor Account Responsibilities

Vendors agree to:

• Maintain accurate account information
• Keep login credentials secure
• Respond to buyer inquiries promptly
• Comply with all Kiikiis policies, including prohibited items, fees, and listing rules
• Not engage in fraud, deception, or abusive behavior

Kiikiis may suspend or terminate accounts for violations.

3. Fees & Payment Terms

By selling on Kiikiis, Vendors agree to the following fee structure:

• Listing Fee: $0.20 per product listing, valid for 180 days
• Relisting Fees: After sale of a product, a relisting fee will be deducted from the vendor’s available listing credits.
• Commission Fee: 10% per completed order
• Payment Processing Fees: Standard credit card processing fees apply (set by the payment processor)

Fees are automatically deducted from payouts and are non‑refundable.

Kiikiis reserves the right to modify fees with notice.

4. Prohibited Items (Strict Enforcement)

Vendors may NOT list, sell, distribute, or promote any illegal, dangerous, or restricted items. This includes, but is not limited to:

Illegal or Restricted Goods

• Illegal drugs, controlled substances, drug paraphernalia
• Weapons prohibited by law
• Stolen goods
• Counterfeit or replica items
• Items violating copyright, trademark, or intellectual property
• Child exploitation materials
• Pornographic or explicit content
• Hazardous materials requiring special licensing
• Human remains or body parts
• Government‑issued documents (IDs, passports, licenses)
• Any product illegal under U.S. federal, state, or local law

Marketplace‑Restricted Goods

Kiikiis also prohibits:

• Hate‑related merchandise
• Items promoting violence or harassment
• Malware, hacking tools, or digital exploitation products
• Items that violate our Christian‑friendly brand values (e.g., occult items, explicit adult content)

Kiikiis may remove listings, suspend accounts, or report illegal activity to authorities.

5. Product Listings

Vendors must ensure all listings are:

• Accurate, truthful, and not misleading
• Properly categorized
• Priced clearly
• Supported with real product images
• Updated when inventory changes

Vendors may not:

• Use stolen or copyrighted images without permission
• Misrepresent product condition or origin
• List items they cannot legally sell or ship

Kiikiis may edit, hide, or remove listings at its discretion.

6. Order Fulfillment

Vendors are solely responsible for:

• Packaging products safely
• Shipping orders within the stated timeframe
• Providing tracking information (if applicable)
• Ensuring products arrive as described

Failure to fulfill orders may result in:

• Account suspension
• Removal from the marketplace
• Refunds issued at Vendor expense

7. Returns, Refunds & Disputes

Vendors must:

• Honor their posted return/refund policies
• Resolve disputes professionally
• Cooperate with Kiikiis during investigations

If a Vendor refuses to resolve a legitimate issue, Kiikiis may:

• Issue refunds to buyers
• Deduct funds from Vendor payouts
• Suspend or terminate the Vendor account

Kiikiis’ decision is final.

8. Vendor Use of Buyer Information

Vendors receive buyer information only for fulfilling orders.

Vendors may NOT:

• Use buyer data for marketing without explicit consent
• Sell or share buyer information
• Harass, threaten, or spam buyers
• Store buyer data beyond what is legally required

Violations may result in immediate termination.

9. Taxes & Legal Compliance

Vendors are responsible for:

• Reporting and paying all applicable taxes
• Complying with federal, state, and local regulations
• Maintaining any required business licenses

Kiikiis does not provide tax advice.

10. Payouts

Vendor earnings are calculated after:

• Commission fees
• Listing fees
• Payment processing fees
• Any adjustments or refunds

Kiikiis may delay payouts if:

• Fraud is suspected
• Disputes are unresolved
• Legal compliance issues arise

11. Intellectual Property

Vendors must not upload or sell items that infringe on any copyright, trademark, or intellectual property rights.

Vendors grant Kiikiis a non‑exclusive license to display, modify, and distribute their store content for marketplace operation.

12. Suspension & Termination

Kiikiis may suspend or terminate Vendor accounts for:

• Violating this Agreement
• Selling prohibited items
• Fraudulent activity
• Abusive behavior
• Repeated poor performance
• Legal or compliance issues

Termination may include:

• Removal of listings
• Forfeiture of payouts
• Permanent ban from the marketplace

13. Limitation of Liability

Kiikiis is not liable for:

• Vendor actions or omissions
• Product defects or misrepresentations
• Shipping delays or losses
• Buyer misuse or fraud
• Third‑party payment processor issues

Vendors use the marketplace at their own risk.

14. Indemnification

Vendors agree to indemnify and hold Kiikiis harmless from:

• Claims arising from their products
• Violations of law
• Intellectual property disputes
• Fraud or misconduct
• Damages caused to buyers or third parties

15. Changes to Agreement

Kiikiis may update this Agreement at any time. Continued use of the marketplace constitutes acceptance of updated terms.
